Customer Rental Agreement

This Customer Rental Agreement ("Agreement") is a legally binding contract between Tech Apps LLC, a California limited liability company, doing business as "Yardy" and operating the Yardy.us Platform ("Tech Apps," "Yardy," "we," "us," "our") and the individual or business entity that rents equipment through the Platform ("customer," "you," "your"). By creating a customer account or renting equipment on the Platform, you acknowledge and agree to be bound by this Agreement.

1. Definitions

Platform: The Yardy.us website, mobile application, and related services operated by Tech Apps LLC.

customer: A User who rents equipment listed by an equipment owner.

equipment owner: A User who lists equipment for rent.

Equipment: Any machinery, tool, or asset made available for rental by an equipment owner.

Rental Agreement: The agreement between a customer and equipment owner governing the rental of Equipment.

2. Yardy's Role

Yardy operates solely as a neutral online marketplace connecting customers and equipment owners. Yardy:

  • Is not a party to any Rental Agreement;
  • Does not own, inspect, maintain, or verify Equipment;
  • Does not guarantee the availability, condition, safety, performance, legality, or operability of Equipment;
  • Is not responsible for equipment owner actions, equipment defects, rental terms, damages, or any contractual obligations.

All rental agreements are entered into directly between the customer and equipment owner.

3. Customer Responsibilities

customer agrees to comply with all obligations detailed in this section.

3.1 Accuracy of Information

customer must:

  • Provide accurate and truthful account and payment information;
  • Maintain current contact, business, and identification information.

3.2 Equipment Use

customer is solely responsible for:

  • Safe and lawful operation of all rented Equipment;
  • Ensuring all operators possess required qualifications or licenses;
  • Complying with all laws, safety regulations, and manufacturer instructions;
  • Preventing misuse, overloading, or unsafe operation.

3.3 Pre-Operation Inspection

Before using Equipment, customer must verify:

  • No visible defects, excessive wear, or damage;
  • All safety systems and controls function properly;
  • The equipment is suitable and safe for the intended use.

3.4 Damage, Loss & Theft

customer shall be fully responsible for:

  • Any loss, theft, damage, or destruction of Equipment during the rental period;
  • Associated repair, replacement, or recovery costs;
  • Any resulting rental downtime or equipment owner losses.

4. Insurance Requirements

4.1 customer Insurance

The customer must maintain all insurance coverage required under applicable law or required by the equipment owner, including liability and equipment coverage.

4.2 Damage Waiver

equipment owners may offer an optional damage waiver. Acceptance or rejection of a waiver impacts customer's financial responsibility for certain damages.

4.3 Failure to Provide Insurance

If a customer fails to provide required insurance documentation, equipment owners may cancel the rental at their discretion.

5. Payments & Fees

5.1 Payment Processing

Payments are processed through Yardy's approved third‑party payment processors. All processing fees include credit card transaction costs and platform handling expenses.

5.2 Customer Payment Obligations

Customer agrees to:

  • Pay all rental charges, deposits, taxes, and non‑refundable processing fees, which cover payment processing and transaction costs.
  • Authorize Yardy or its payment processors to charge stored payment methods for all amounts due, including extensions, damage fees, cleaning fees, or any additional charges imposed under Vendor policies.

5.3 Processing Fee Policy (Non‑Refundable)

All payment processing fees are non‑refundable. If a rental is cancelled two (2) days or less before the scheduled rental start date, Yardy's processing fees will not be refunded under any circumstance, regardless of the Equipment owner's cancellation policy.

5.4 Refunds & Cancellations

Refunds and cancellations are governed exclusively by the Equipment owner's posted refund and cancellation policy. Yardy enforces only the exact policy written by the Equipment owner's and does not interpret, modify, or override Vendor terms.

6. Prohibited customer Actions

customer shall not:

  • Misuse, abuse, or operate Equipment unlawfully;
  • Permit unqualified or unauthorized individuals to operate Equipment;
  • Circumvent Yardy's payment system or initiate off‑platform rentals;
  • Provide false, misleading, or fraudulent information;
  • Harass, threaten, or abuse equipment owners or Yardy personnel.

7. Indemnification

customer agrees to indemnify, defend, and hold harmless Yardy from any claims, damages, liabilities, losses, or expenses arising out of:

  • customer's use or misuse of Equipment;
  • Violations of law or this Agreement;
  • Damage to property or injury to persons related to Equipment use.

8. Limitation of Liability

To the fullest extent permitted by law, Yardy shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages;
  • Loss of profits, revenue, or business opportunities;
  • Equipment defects, failures, or operational issues;
  • equipment owner misconduct or breaches.

Total liability to customer shall not exceed the total fees paid by the customer to Yardy within the six (6) months prior to the event giving rise to the claim.

9. Termination

Yardy may suspend or terminate a customer account for:

  • Violations of this Agreement;
  • Fraudulent or unsafe conduct;
  • Abusive behavior or policy violations.

customers may discontinue use of the Platform at any time.

10. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Orange County, California. Judgment on the award may be entered in any court of competent jurisdiction.

11. Class Action Waiver

Customers agree that all claims must be brought on an individual basis, and equipment owners waive any right to participate in a class action, class arbitration, private attorney general action, or any collective proceeding.

12. Jury Trial Waiver

customer knowingly and voluntarily waives any right to a jury trial in any action or proceeding arising out of or related to this Agreement.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of California. Legal actions shall be brought exclusively in Orange County, California.
