Yardy Website Terms of Use

These Terms of Use ("Terms") form a legally binding agreement between Tech Apps LLC, a California limited liability company, doing business as "Yardy" and operating the Yardy.us Platform ("Tech Apps," "Yardy," "we," "us," "our") and any individual or entity accessing or using the Yardy website, mobile application, or related services (collectively, the "Platform").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.

1. Acceptance of Terms

Your use of the Platform signifies your acceptance of these Terms, the Privacy Policy, the Cookie Policy, and all additional guidelines, rules, or policies posted on the Platform. Yardy may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

2. Eligibility

Users must:

  • Be at least 18 years old; and
  • Possess the legal capacity to enter into binding agreements.

By using the Platform, you represent and warrant that you meet these requirements.

3. User Accounts

Users may need to create an account to access certain services. You agree to:

  • Provide accurate, current, and complete account information;
  • Maintain the security of your login credentials;
  • Assume full responsibility for all actions taken under your account.

Yardy may suspend or terminate your account for violations of these Terms or fraudulent, harmful, or abusive conduct.

4. Yardy Role

Yardy operates solely as a neutral online marketplace connecting equipment owners ("equipment owners") with equipment renters ("customers"). Yardy:

  • Is not a party to any Rental Agreement;
  • Does not own, inspect, maintain, guarantee, or control any Equipment;
  • Provides no warranties, express or implied, regarding Equipment;
  • Is not responsible for equipment owner or customer conduct, contract breaches, or disputes;
  • Does not insure Equipment or Users.

All rental transactions are exclusively between equipment owners and customers.

5. Acceptable Use Policy

Users must not:

  • Violate any applicable laws or regulations;
  • Provide false, misleading, or fraudulent information;
  • Circumvent or attempt to bypass Yardy' payment systems or fees;
  • Conduct or solicit off-platform rentals;
  • Interfere with Platform functionality or attempt unauthorized system access;
  • Harass, threaten, or abuse other Users or Yardy staff;
  • Infringe on Yardy's or third parties' intellectual property rights.

Violations may result in account suspension, termination, or legal action.

6. Payments & Fees

Users agree to:

  • Pay all fees, taxes, and charges imposed by equipment owners or the Platform;
  • Allow Yardy and its payment processors to charge payment methods on file;
  • Abide by Vendor-specific refund, cancellation, or damage policies.

All applicable fees are disclosed prior to completing a transaction.

7. Intellectual Property Rights

All trademarks, logos, software, content, and materials displayed on the Platform are the exclusive property of Yardy. Users may not copy, reproduce, distribute, or modify Platform content without prior written authorization.

8. Privacy

Use of the Platform is subject to the Yardy Privacy Policy. By using the Platform, you consent to the collection, storage, and processing of your information in accordance with that policy.

9. Limitation of Liability

To the fullest extent permitted by law, Yardy shall not be liable for:

  • Indirect, incidental, punitive, or consequential damages;
  • Loss of revenue, profits, or business opportunities;
  • Equipment malfunction, defects, or downtime;
  • customer or equipment owner misconduct;
  • Disputes between equipment owners and customers.

Yardy' total liability shall not exceed the total fees paid to Yardy by the User within the six (6) months preceding the claim.

9.1 Warranty Disclaimers

To the maximum extent permitted by California law, Yardy disclaims all warranties, express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. Yardy does not warrant that the Platform will be uninterrupted, secure, error‑free, or free of harmful components.

9.2 No Duty of Care

Nothing in these Terms shall be interpreted as creating any duty of care owed by Yardy to Users. Users acknowledge that Yardy does not supervise, monitor, or control equipment owners, customers, or Equipment.

9.3 Indemnification

Users shall indemnify, defend, and hold harmless Yardy and its officers, directors, members, employees, and agents from and against all claims, liabilities, losses, damages, penalties, fines, and expenses (including attorney's fees and expert fees) arising out of or related to:

  • User's breach of these Terms;
  • User's misuse of the Platform;
  • User's violation of applicable laws;
  • Disputes or damages arising from any Vendor‑customer interaction or Equipment rental.

9.4 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be held in Orange County, California. Judgment may be entered in any court of competent jurisdiction.

9.5 Class Action Waiver

Users agree that any claims shall be brought solely on an individual basis, and that Users waive any right to participate in a class action, class arbitration, private attorney general action, or collective proceeding.

9.6 Jury Trial Waiver

Users knowingly and voluntarily waive any right to a jury trial in any legal action arising out of or relating to these Terms.

9.7 Electronic Acceptance

By clicking "I Agree," creating an account, or using the Platform, Users consent to enter into this binding electronic agreement.

10. Termination

Yardy may suspend or terminate access to the Platform for:

  • Any breach of these Terms;
  • Fraudulent, unsafe, or unlawful behavior;
  • Actions that harm or threaten Platform integrity.

Users may stop using the Platform at any time, but termination does not remove outstanding obligations.

11. Governing Law

These Terms are governed by the laws of the State of California. Any disputes must be brought exclusively in the courts of Orange County, California.
